Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and PropRentalAI, Inc. ("PropRentalAI," "we," "us," or "our"), governing your access to and use of the PropRentalAI platform, including all associated services, applications, and APIs (collectively, the "Service"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions

"Service" means the PropRentalAI web application, API, and all related tools and functionality provided by PropRentalAI.
"Customer Data" means all data, content, and information uploaded, entered, or generated by you through the Service, including tenant information, lease documents, maintenance records, financial data, and communications.
"Subscription" means the paid or free plan under which you access the Service.
"Authorized Users" means individuals you permit to access the Service under your account, including team members, tenants, and service providers.

2. Account Registration & Eligibility

You must be at least 18 years of age and legally capable of entering into binding agreements. You agree to provide accurate, complete, and current registration information and to maintain the accuracy of such information. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately upon becoming aware of any unauthorized use of your account.

3. Subscription Plans & Billing

3.1 Free Plan. PropRentalAI offers a free Starter plan with limited features. Free plans may be modified, limited, or discontinued at our discretion with 30 days' notice.

3.2 Paid Plans. Paid subscriptions are billed monthly or annually, as selected at the time of purchase. Fees are stated in U.S. dollars and are exclusive of applicable taxes. We reserve the right to modify pricing with at least 30 days' written notice prior to your next billing cycle.

3.3 Automatic Renewal. Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date through your account settings.

3.4 Taxes. You are responsible for all applicable sales, use, VAT, GST, or other taxes imposed by any governmental authority with respect to your use of the Service.

4. Refund Policy

4.1 Trial Period. New paid subscriptions include a 14-day trial period. If you cancel within the trial period, you will receive a full refund of any charges incurred.

4.2 Monthly Plans. For monthly subscriptions, you may request a refund within 7 days of a billing charge if you have not substantially used the Service during that billing period. Refund requests beyond 7 days will not be honored for monthly plans.

4.3 Annual Plans. For annual subscriptions, you may request a pro-rated refund within 30 days of purchase or renewal. After 30 days, annual plans are non-refundable but may be canceled to prevent future renewal.

4.4 How to Request a Refund. Refund requests must be submitted via email to support@proprentalai.com and will be processed within 10 business days. Refunds are issued to the original payment method.

4.5 Exceptions. Refunds will not be issued for: (a) downgrade from a higher-tier to a lower-tier plan, (b) partial month usage, (c) charges incurred due to unauthorized access resulting from your failure to secure your account credentials, or (d) accounts terminated for violation of these Terms.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law; (b) upload or transmit malicious code, viruses, or any material that could damage or impair the Service; (c) attempt to gain unauthorized access to any portion of the Service or its infrastructure; (d) use the Service to store or transmit content that infringes the intellectual property rights of any third party; (e) resell, sublicense, or distribute access to the Service without our prior written consent; (f) use automated means to scrape, mine, or extract data from the Service except through our published APIs; or (g) interfere with or disrupt the integrity or performance of the Service.

6. Customer Data & Intellectual Property

6.1 Ownership. You retain all right, title, and interest in and to your Customer Data. PropRentalAI does not claim ownership of any Customer Data.

6.2 License Grant. You grant PropRentalAI a limited, non-exclusive, worldwide license to use, process, and store your Customer Data solely as necessary to provide, maintain, and improve the Service.

6.3 AI-Generated Content. Content generated by our AI features (including leases, contracts, maintenance diagnoses, and audit reports) is provided as a tool and does not constitute legal advice. You are solely responsible for reviewing and verifying all AI-generated content before use.

6.4 PropRentalAI IP. All intellectual property rights in the Service, including software, design, trademarks, and documentation, are and remain the exclusive property of PropRentalAI.

7. Data Protection & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection and processing of data as described in our Privacy Policy.

8. Service Availability & Support

8.1 Uptime. We endeavor to maintain 99.9% uptime for the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where reasonably practicable.

8.2 Support. Support is provided via email and in-app channels during business hours. Response times vary by plan tier as described on our Pricing page.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROPRENTALAI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PROPRENTALAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PROPRENTALAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PROPRENTALAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless PropRentalAI and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any Customer Data you upload or transmit through the Service.

11. Termination

11.1 By You. You may terminate your account at any time through your account settings or by contacting support.

11.2 By Us. We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms or if required by law.

11.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for 30 days following termination, during which you may request an export. After 30 days, we will delete your Customer Data in accordance with our data retention policies unless retention is required by law.

12. Dispute Resolution

12.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflicts of law provisions.

12.2 Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the seat of arbitration shall be Wilmington, Delaware.

12.3 Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice within the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms.

14. General Provisions

14.1 Entire Agreement. These Terms, together with our Privacy Policy and any order forms or service-specific terms, constitute the entire agreement between you and PropRentalAI regarding the Service.

14.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver. The failure of PropRentalAI to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.

14.4 Assignment. You may not assign or transfer these Terms without our prior written consent. PropRentalAI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
